3. Client Responsibilities
To ensure successful project completion, clients agree to:
Content & Materials
- Provide Content: Supply all text, images, videos, logos, and other materials in a timely manner
- Content Rights: Ensure you own or have proper licenses for all provided content
- Content Accuracy: Verify all information provided is accurate and up-to-date
- Quality Standards: Provide high-resolution images and professional-quality materials
Communication & Feedback
- Timely Responses: Respond to requests for information, feedback, and approvals within 5-7 business days
- Clear Communication: Provide clear, specific feedback and requirements
- Single Point of Contact: Designate one primary contact person for the project
- Availability: Be available for scheduled meetings and progress updates
Technical Requirements
- Access Credentials: Provide necessary login credentials, hosting access, and third-party accounts
- Domain & Hosting: Ensure domain registration and hosting are active (if not provided by us)
- Third-Party Services: Set up and provide access to required third-party integrations

5. Payment Terms & Pricing
Payment Structure
Our standard payment terms are as follows:
- Deposit (50%): Required upfront before project commencement to secure your spot
- Milestone Payments: For larger projects, payments may be divided into milestones (e.g., 25% at design, 25% at development, 50% at completion)
- Final Payment (50%): Due upon project completion and before website launch/delivery
- Monthly Retainers: For maintenance and hosting services, billed monthly in advance

- Bank Transfer/Wire Transfer
- Business Checks (US clients only, subject to clearance)
Payment Policies
- Currency: All prices are in US Dollars (USD)
- Invoicing: Invoices are sent via email and must be paid within 7 days of receipt
- Late Payments: Late payments may incur a 1.5% monthly interest charge
- Non-Payment: Failure to pay may result in project suspension and withholding of deliverables
- Payment Plans: Available for projects over $5,000 (contact us for details)
- Taxes: Prices do not include applicable sales tax or VAT
Pricing & Quotes
- All quotes are valid for 30 days from the date of issue
- Prices may change based on scope modifications or additional requirements
- Custom quotes provided based on project specifications
- Pricing information on our website is for reference only; actual costs determined after consultation
6. Revisions & Modifications
Included Revisions
Our standard packages include a specific number of revision rounds:
- Design Phase: Up to 3 rounds of revisions on approved design concepts
- Development Phase: Up to 2 rounds of minor content and styling adjustments
- Post-Launch: 30 days of minor bug fixes and adjustments (does not include new features)
What Counts as a Revision
- Minor text changes and content updates
- Color and font adjustments
- Layout modifications within the approved design scope
- Image replacements and positioning
- Bug fixes and technical issues
Additional Revisions & Changes
Changes beyond the included revision rounds are subject to additional fees:
- Major design overhauls or complete redesigns
- Additional pages or sections not in the original scope
- New functionality or feature requests
- Changes after final approval and launch
Hourly Rate: Additional work is billed at $75-$150 per hour depending on complexity. Quotes provided before work begins.
7. Intellectual Property Rights
Client Ownership
Upon full payment of all fees, you will own:
- Final Website: Complete ownership of the finished website, including custom code
- Custom Graphics: Original graphics, logos, and designs created specifically for your project
- Content: All text, images, and materials you provided
- Source Files: Final design files and assets (upon request)
Michigan Web Studio Retains Rights To
- Pre-existing Code: Templates, frameworks, plugins, and code libraries used in development
- Third-Party Assets: Licensed stock photos, fonts, icons, and plugins (subject to their licenses)
- Methodologies: Our development processes, techniques, and business methods
- Portfolio Usage: Right to showcase the project in our portfolio, marketing materials, and case studies
Third-Party Licenses
Your website may include third-party components subject to their respective licenses:
- WordPress (GPL License)
- Premium themes and plugins (subject to their individual licenses)
- Open-source libraries and frameworks
- Stock photos and fonts (ensure proper licensing)
Client-Provided Materials
You represent and warrant that:
- You own or have proper licenses for all materials you provide
- Your content does not infringe on any third-party copyrights, trademarks, or intellectual property
- You will indemnify Michigan Web Studio against any claims arising from your materials
8. Warranties & Disclaimers
Our Warranties
Michigan Web Studio warrants that:
- Services will be performed with professional skill and care
- Work will be original and will not infringe on third-party rights (excluding client-provided content)
- Websites will be tested for functionality across major browsers and devices
- Code will be clean, well-structured, and follow industry standards
No Guarantees
We do NOT guarantee:
- Search Engine Rankings: We cannot guarantee specific SEO rankings or traffic levels
- Business Results: No guarantee of increased sales, conversions, or revenue
- 100% Uptime: While we strive for maximum uptime, no hosting is 100% guaranteed
- Error-Free Operation: All software may contain bugs; we commit to fixing issues promptly
- Third-Party Services: We are not responsible for failures of third-party services, plugins, or APIs
Disclaimer of Warranties
EXCEPT AS EXPRESSLY PROVIDED HEREIN, MICHIGAN WEB STUDIO PROVIDES SERVICES “AS IS” WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Liability Cap: Our total liability shall not exceed the total amount paid by you for the specific service that gave rise to the claim
- Consequential Damages: We are not liable for indirect, incidental, special, consequential, or punitive damages
- Business Losses: Not liable for loss of profits, revenue, business opportunities, or data
- Third-Party Claims: Not responsible for claims arising from your use of third-party services or content
10. Cancellation & Termination
Client Cancellation
You may cancel the project at any time with the following conditions:
- Before Work Begins: Full refund of deposit minus 10% administrative fee
- During Design Phase: Refund of remaining balance minus completed work hours and 25% deposit retention
- During Development: Refund of remaining balance minus completed work; deposit is non-refundable
- After Completion: No refunds for completed work
Termination by Michigan Web Studio
We reserve the right to terminate the agreement if:
- Client fails to make required payments after 30 days of notice
- Client fails to provide necessary materials or feedback after 60 days
- Client breaches these Terms & Conditions
- Project requirements involve illegal or unethical content/activities
Effects of Termination
- All outstanding payments become immediately due
- Client may request delivery of work-in-progress files (subject to payment)
- Michigan Web Studio retains the right to showcase completed work
- All licenses and rights revert according to payment status
Cooling-Off Period
For contracts initiated online or remotely, you have a 14-day cooling-off period from the contract date to cancel for a full refund, provided no work has commenced.
11. Confidentiality
Our Commitment
Michigan Web Studio agrees to:
- Keep all client information and business details confidential
- Not disclose proprietary information to third parties without consent
- Use secure methods for storing and transmitting sensitive data
- Return or destroy confidential information upon project completion or request
Exceptions
Confidentiality obligations do not apply to information that:
- Is publicly available or becomes public through no fault of ours
- Was already in our possession prior to disclosure
- Is independently developed without use of confidential information
- Must be disclosed by law or court order
Non-Disclosure Agreement
For projects requiring additional confidentiality, we are happy to sign a separate NDA upon request.
12. Website Use & Restrictions
Permitted Use
You may use our website to:
- Browse information about our services
- Contact us for inquiries and quotes
- Access client portals and project materials (with authorization)
- Subscribe to newsletters and updates
Prohibited Activities
You may NOT:
- Use our website for any illegal or unauthorized purpose
- Attempt to gain unauthorized access to our systems or networks
- Transmit viruses, malware, or harmful code
- Copy, reproduce, or distribute our content without permission
- Scrape, harvest, or collect data from our website using automated means
- Impersonate Michigan Web Studio or our employees
- Interfere with the proper functioning of our website
Account Security
If you create an account or access client portals:
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorized access
- You are responsible for all activity under your account
- Do not share your account with others
13. Hosting & Domain Services
Hosting Terms (If Provided by Us)
- Service Level: 99.9% uptime guarantee (excluding scheduled maintenance)
- Storage: Plans include specified storage limits; overages charged separately
- Bandwidth: Fair use policy applies; excessive usage may require plan upgrade
- Backups: Daily automated backups retained for 30 days
- Security: SSL certificates, firewall protection, and malware scanning included
- Support: Technical support available via email and phone during business hours
Domain Registration
- Domain registration fees are billed annually
- Renewal notices sent 30 days before expiration
- Non-renewal may result in domain loss
- Domain ownership remains with the client (registered in client’s name)
- Transfer requests honored within 5 business days upon request
Acceptable Use Policy
Hosted websites must not:
- Contain illegal content or facilitate illegal activities
- Host malware, phishing, or fraudulent content
- Violate copyright or intellectual property rights
- Send spam or engage in email abuse
- Consume excessive server resources impacting other clients
14. Website Maintenance
Maintenance Plans
Our maintenance services include:
- Software Updates: WordPress core, theme, and plugin updates
- Security Monitoring: Regular security scans and vulnerability checks
- Backups: Weekly or daily backups with secure off-site storage
- Uptime Monitoring: 24/7 monitoring with instant alerts
- Technical Support: Priority support for issues and questions
- Content Updates: Minor text and image updates (hours vary by plan)
- Performance Optimization: Speed and performance monitoring
